(1) The General Terms and Conditions apply exclusively to contracts with other companies.
(2) All deliveries, services and offers of Pfalz Tec - including the objects that Pfalz Tec manufactures specifically according to the specifications of the contractual partner (hereafter referred to as the Customer) - are made solely on the basis of these General Terms and Conditions. They are an integral part of all contracts that Pfalz Tec concludes with the Customer. They also apply to all future deliveries, services or quotations to the Customer, even if they are not separately agreed upon again.
(3) Terms and conditions of the Customer or third parties shall not apply, even if Pfalz Tec does not separately object to their validity in individual cases. Even if Pfalz Tec refers to a letter that contains or refers to the business terms of the Customer or a third party, this does not imply any agreement with the validity of those business terms and conditions.
II. Quotation and conclusion of contract
(1) All quotations given by Pfalz Tec are without obligation and non-binding.
(2) The legal relationship between Pfalz Tec and the Customer shall be governed exclusively by the written contract, including these General Terms and Conditions. This fully reflects all agreements between the contracting parties on the object of the contract. Oral agreements made by Pfalz Tec before the conclusion of this contract are not legally binding and oral agreements by the contracting parties are replaced by the written contract provided that they are not expressly defined as a continuing component of the contract.
(3) Supplements and modifications to the agreements reached, including these General Terms and Conditions, must be in writing to be effective.
(4) Any information supplied by Pfalz Tec regarding the delivery item (e.g. weights, dimensions, utility value, loading capacity, tolerances and technical data) as well as their representations by Pfalz Tec (e.g. in drawings and illustrations) shall be deemed approximate only, unless exact conformance is crucial for the item's usability for the intended and contractual purpose. The descriptions and depictions are not guaranteed characteristics but designations or features of the delivery or service. Deviations customary in the trade as well as deviations occurring due to statutory provisions or representing technical improvements, as well as the replacement of components by equivalent parts, are permissible as long as they do not impair the usability for the contractually intended purpose.
Pfalz Tec reserves the ownership of and/or copyright to any and all quotations and cost estimates submitted as well as drawings, illustrations, calculations, brochures, catalogues, models, tools and other documents and aids made available to the Customer. The Customer may not make these items accessible to third parties as such or with respect to content, nor may the Customer disclose them, use them independently or through third parties or reproduce them without the express
consent of Pfalz Tec. Upon the request of Pfalz Tec, the Customer is to return such
items in their entirety and destroy any copies made if they
are no longer required in the ordinary course
of business or if negotiations do not lead to the conclusion of
a contract.
III. OBLIGATION TO CO-OPERATE – NOTICE ABOUT THE SPRAY THAT WILL BE USED AND AMBIENT CONDITIONS
(1) When ordering, the Customer must state the spray that will be used (full chemical formula) and concrete ambient conditions under which the delivery item is to be used, unless Pfalz Tec specifies the delivery item's suitability and scope of use with certain sprays or ambient conditions in its "spraying agent information", product advertising or other publications, and usage is kept within this specified scope.
(2) Pfalz Tec reserves the right to decline the Customer's order without delay in the case of notification of the spray that will be used and the concrete ambient conditions.
(3) Furthermore, it shall be the sole responsibility of the Customer to:
• select the spray and its active agents for the concrete application and ambient requirements,
• carry out the task,
• obtain any official authorisations and permits for the spraying process that may be required, and
• observe the regulations regarding the use of spray that is being used, the behaviour in the environment in which use is taking place and the applicable health and safety regulations.
IV. Deliveries, Deadlines
(1) Periods and dates for deliveries promised by Pfalz Tec are always only approximate, unless a fixed period or a fixed date is expressly promised or agreed. Where shipment has been agreed, delivery periods and delivery dates shall refer to the time of handover to the forwarding agent, carrier or other third party commissioned with the transport.
(2) Unless agreed otherwise, a delivery period of 4 weeks shall apply for typified standard devices and approximately 8 weeks for devices that are to be manufactured to the Customer's specifications. Para. (3) shall not apply to deliveries that involve more than five devices; in this case a separate agreement is required for delivery periods.
(3) Where the Customer and Pfalz Tec have agreed upon pre-payment, the delivery will not begin before the arrival of the agreed payment amount at Pfalz Tec.
(4) Notwithstanding its rights from default of the Customer, Pfalz Tec may demand from the Customer an extension of the periods for deliveries and services or a postponement of the dates for them by the period in which the Customer fails to meet his contractual obligations towards Pfalz Tec. This particularly applies to responses to technical queries, the provision of necessary drawings and documents, the provision of agreed substances or technical goods and on-schedule production of contractually agreed advance services by the Customer.
(5) Pfalz Tec may also demand an extension of the periods for deliveries and services or a postponement of the dates for them by the period that is required to implement the Customer's subsequent change requests or specifications.
(6) Pfalz Tec shall not be liable for the impossibility of delivery or delays in delivery, where such were caused by force majeure or other events that were not foreseeable at the time of conclusion of the contract (e.g. disruptions of operation of any kind, difficulties in the procurement of materials or energy, transport delays, strikes, lawful lockouts, lack of manpower, energy or raw materials, difficulties in the procurement of necessary official permits, official measures or the lack of, incorrect or late delivery by suppliers). Where such events make the delivery or service of Pfalz Tec considerably more difficult or impossible and the hindrance is not just of a temporary nature, Pfalz Tec shall be entitled to withdraw from the contract. In the event of impairments of a temporary nature, the delivery or service periods shall be extended or the delivery or service dates postponed by the period of
the impairment plus a reasonable start-up period. Where the Customer cannot reasonably be expected to accept the delivery or service as a result of the delay, he may withdraw from the contract by declaration
in writing to Pfalz Tec without undue delay. Pfalz Tec shall inform the Customer of any hindrances within the sense of the foregoing clauses without delay.
(7) Pfalz Tec shall be entitled to make partial deliveries provided
• the partial delivery is usable for the Customer in the scope of the contractual purpose of use,
• the delivery of the remaining goods ordered is secured, and
• thereby the Customer will not incur significant additional effort or costs (unless Pfalz Tec declares it is willing to absorb these costs)
(8) Should Pfalz Tec not meet an agreed delivery deadline, the Customer shall grant Pfalz Tec an appropriate extension period which must be at least two weeks.
(9) If Pfalz Tec defaults in regard to goods or services or is unable to provide delivery or services for whatever reason, Pfalz Tec's liability for damages shall be limited in accordance with the provisions in Article X of these General Terms and Conditions.
V. Prices and payment terms
(1) The prices are quoted ex Görlitz works, Germany. All prices quoted are exclusive of VAT at the current statutory rate of 19%. Also to be added are the cost of packing, freight, transport insurance, customs duties, fees and other public charges or further country-specific costs. (E.g. motorway tolls).
(2) Where the agreed prices are based on the Pfalz Tec list prices and delivery is to occur more than four months after conclusion of the contract, the Pfalz Tec list prices valid at the time of delivery shall apply. The Customer shall be entitled to withdraw from the contract if prices increase by more than 10% since it was concluded. The right to withdraw must be exercised within five working days of being informed of the price increase.
(3) Offsetting against counterclaims of the Customer or the retention of payments by the Customer due to such claims shall only be permissible if the counterclaims are undisputed or legally established.
(4) For customers in other EU countries or where the contract is concluded for the first time, the price shall be paid upon conclusion of the contract.
(5) The respective invoiced amount is due and payable without deductions 12 calendar days of receipt of the invoice, unless agreed differently.
(6) After the due date, interest is payable on the price at 5 percentage points above the base interest rate; the right to charge higher interest and additional damages in case of default shall remain unaffected.
(7) The decisive date for compliance shall be the date payment is received by Pfalz Tec.
(8) Pfalz Tec shall be entitled to perform or render outstanding deliveries or services only against advance payment or collateral where it becomes aware of circumstances after conclusion of the contract that are likely to significantly reduce the Customer’s creditworthiness, and hence his ability to pay the outstanding Pfalz Tec bills from the respective contractual relationship is endangered.
VI. Cancellation / Withdrawal by the Customer
In the case where the object of the contract is the delivery of a manufacturable object and the Customer cancels or withdraws from the contract, the Customer shall pay the agreed price minus the saved expenditure; the saved expenditure shall be set at 20% of the agreed price. VII. Retention of title
(1) Title of the delivery item shall remain with Pfalz Tec until all claims against the Customer arising from the business relationship have been settled.
(2) The Customer shall treat the delivery item under retention of title with due care free of charge.
(3) The Customer shall be permitted to process or transform the goods (processing). The processing shall be carried out on behalf of Pfalz Tec. If, however, the value of the delivery item owned by Pfalz Tec is less than the value of the items not owned by Pfalz Tec and/or the processing, Pfalz Tec acquires co-ownership in the new item at the ratio of the value (gross invoice value) of the processed delivery item to to the value of the other processed items and/or the processing at the time the processing is carried out. If Pfalz Tec does not acquire ownership of the new item in accordance with the foregoing clause, Pfalz Tec and the Customer agree that the Customer shall grant Pfalz Tec co-ownership in the new item at the ratio of the value (gross invoice value) of the item owned by Pfalz Tec to the other processed items at the time of the processing. The foregoing clause shall apply accordingly if the delivery item is inseparably mixed or combined with items not owned by Pfalz Tec. If, under this provision, Pfalz Tec acquires ownership or co-ownership in the items, the Customer shall keep them safe with the care of a prudent businessman.
(4) In the event that the delivery item or new item is sold, the Customer hereby assigns to Pfalz Tec, by way of security, the claim which the Customer has against its customer from the resale together with all secondary rights, and no further declarations shall be required for this. The assignment shall include any balance claims. However, the assignment shall only be made in the amount of the price invoiced by Pfalz Tec for the delivery item. The share of the claim assigned to Pfalz Tec shall be settled with priority.
(5) If the Customer connects the delivery item or the new item to premises, the Customer shall assign to Pfalz Tec its claim to remuneration for executing this connection in the amount of the price invoiced by Pfalz Tec for the item supplied, and no further declaration shall be required for this.
(6) Subject to revocation, the Customer shall be entitled to collect the claim which it assigns to Pfalz Tec under this Art. VII. The customer shall promptly transfer any payments to Pfalz Tec made towards the assigned claim up to the secured amount. If a legitimate interest arises, in particular in the case of delay in payment, default, institution of insolvency proceedings, protesting of a bill or evidence of over-indebtedness and impending insolvency of the Customer, Pfalz Tec shall be entitled to revoke the Customer's right to collect. In addition, providing prior warning is given and a reasonable grace period is observed, Pfalz Tec may disclose the assignment of the security, realize the assigned claims and demand that the Customer disclose the assignment to its customers.
(7) On demand, the Customer shall furnish the information Pfalz tec requires to be able to assert its claims against the Customer's customer and shall hand over the necessary documents.
(8) For the duration of the retention of title, the Customer may not pledge the delivery item or transfer ownership by way of security. In the event of levy of execution, seizure or other third-party dispositions or interventions, the Customer shall notify Pfalz Tec forthwith. The resale of the delivery item or the new item shall only be permitted to resellers in the regular course of business and on condition that payment is effected to the Customer in the amount of the value of the delivery item. The Customer shall stipulate that its customer shall acquire title to the item only upon payment of such sum.
(9) If the total realizable value of Pfalz Tec's security interests exceeds the amount of the secured claims by more than 10%, Pfalz Tec shall, at the Customer's request, release an equivalent share of the security interests. The requirements of the preceding clause shall be assumed fulfilled if the estimated value of the collaterals to which Pfalz Tec is entitled reaches or exceeds 150% of the value of the secured claims. Pfalz Tec shall select, at its own choice, the security interests that are to be released.
(10) If the Customer breaches any of its duties, in particular in the event of delay/default of payment, Pfalz Tec shall be entitled to demand surrender of the delivery item and/or the new item without setting a time limit, and/or to set a time limit after the expiration of which it can rescind the contract; the Customer shall be obliged to surrender the item. The request for surrender of the delivery item and/or the new item shall not imply the rescission of contract by Pfalz Tec, unless such rescission is expressly stated.
VIII. Shipment/Passing of risk
(1) The place of performance for all obligations from the contract in Germany is 02829 Markersdorf, Erligheimer Ring 9. If Pfalz Tec is also installing the goods, the place of performance is the site where installation is to take place.
(2) The risk in the delivery item shall pass to the contractual partner of Pfalz Tec when it is delivered to the forwarder, carrier or other party commissioned to effect transportation. The start of the loading process is the decisive point in time. This shall also apply to part deliveries or if Pfalz Tec has agreed to perform other work/services (e.g. shipment or installation). If shipment or handover is delayed due to a circumstance for which the Customer is responsible, risk shall pass to the Customer from the date on which the delivery item is ready for shipment and Pfalz Tec has informed the Customer accordingly.
(3) If shipment is delayed for reasons attributable to the Customer, risk shall pass to the Customer when Pfalz Tec signals its readiness to ship instead of at the start of the loading process.
(4) The kind of transport and packing are subject to the obligatory discretion of Pfalz Tec. Insurance against transport damage will only be taken out at the express wish and for the account of the Customer.
(5) In the case of collection by the Customer, risk shall pass to the latter at the start of the loading process.
(6) Storage costs following transfer of risk shall be borne by the Customer. If stored by Pfalz Tec, the storage costs are 15 € / per square metre for each month commenced. The right to claim for additional storage costs or request proof of lower storage costs remains reserved.
IX. Defect notification duty, Warranty rights
(1) The delivery items shall be carefully examined forthwith after delivery to the Customer or to a third party designated by the Customer.
(2) They shall be deemed accepted if Pfalz Tec does not receive a written complaint for obvious defects or other defects detectable by an immediate careful examination within five working days from the delivery of the delivery item, or otherwise within five working days from the detection of the defect, or at any earlier time at which the defect could have been found by the customer in the conventional use of the delivery item without close examination.
(3) Upon the request of Pfalz Tec, the rejected delivery item is to be returned freight pre-paid. In the event of justified claims for defects, Pfalz Tec will reimburse the cost of the cheapest method of dispatch; this shall not apply if the cost increases because the delivery item is located at a place other than that of the intended use.
(4) In the case of defects in the items supplied, Pfalz Tec shall be obliged and entitled at first to rectify the defect or supply a replacement item, as it sees fit within a reasonable period of time. Such remedy shall be deemed to have failed only after a second unsuccessful attempt. In the event of failure, i.e. if rectification or replacement proves impossible or unreasonable or is refused or unacceptably late, the Customer can rescind the contract or reduce the price accordingly.
(5) The warranty shall be null and void if the Customer modifies the delivery item or causes it to be modified by any third party without Pfalz Tec's consent and if this makes the rectification of defects impossible or unacceptably difficult. In any case, the Customer shall bear any additional costs for rectification on account of such modifications.
(6) The warranty also lapses if a defect arises due to the use of a spray and/or ambient conditions whose particular specification according to Art. III para. 1 have/has been neglected by the Customer, unless Pfalz Tec specifies the delivery item's suitability and scope of use with certain sprays or ambient conditions in its "spraying agent" information, product advertising or other publications, and usage is kept within this specified scope.
X. Damage compensation - Limitations of liability
(1) Pfalz Tec's liability, irrespective of legal grounds, in particular for impossible, delayed, deficient or false delivery, breach of contract, breach of obligations during contract negotiation and tortious act, insofar as negligence is at issue, shall be limited in accordance with the following provisions.
(2) Pfalz Tec shall assume no liability in the event of ordinary negligence on the part of the owner/its organs, legal representatives, employees or other vicarious agents, except in the case of a breach of essential contractual obligations.
(3) Essential contractual obligations comprise the obligation to deliver the items punctually and free of faults, and also obligations to advise, protect and take care, which are to enable the Customer to use the delivery item as contracted or which aim to protect life, limb and health or protect the Customer's property from material damage.
(4) Insofar as Pfalz Tec is in principle liable for damages under Art. IX para. 2 , the liability shall be limited to damage that Pfalz Tec, at the time of conclusion of the contract, could foresee as a possible consequence of a breach of contract or should have foreseen with due diligence. Indirect damage or consequential damage resulting from defects of the delivery item can only be compensated for if such damage can typically be expected in the conventional use of the delivery item. Not included is damage arising from the use of a spray and/or ambient requirements whose specifications according to Art. III para. 1 have been neglected by the Customer, unless Pfalz Tec specifies the delivery item's suitability and scope of use with certain sprays or ambient conditions in its "agent information", product advertising or other publications and usage is kept within this specified scope.
(5) In the event of liability for ordinary negligence, Pfalz Tec's liability for material defects shall be limited to €1 million per damage claim, even in the event of violation of essential contractual obligations.
(6) The above-mentioned exclusions and limitations of liability shall equally apply in favour of its organs, legal representatives, employees and other vicarious agents of Pfalz Tec.
(7) If Pfalz Tec furnishes technical information or advice which exceeds the scope of work/services agreed under the contract, this shall be free of charge with no liability.
(8) The foregoing limitations shall not apply to any liability that Pfalz Tec may have for wilful intent, for guaranteed properties, for injury to life, limb or health or under the product liability law.
XI. Limitation period
(1) All warranty claims for defects become time-barred one year after delivery. However, this shall not apply in the case of Art. 438 para. 1 no.2 of the German Civil Code (BGB) (Buildings and items used for a building), Art. 479 para. 1 BGB (Recourse of the entrepreneur) or Art. 634 a para. 1 no. 2 BGB (Buildings or works consisting in the provision of planning or supervisory services). The cases listed in clause 2 are subject to the statutory period of limitation.
(2) The limitation periods under para. 1 shall also apply for compensation claims against Pfalz Tec relating to the defect – regardless of the legal basis of the claim. If compensation claims of any type not related to a defect are made against Pfalz Tec, the statute of limitations under para. 1 clause 1 shall apply to them.
(3) The limitation periods under paras. 1 and 2 however shall apply with the following proviso: The limitation periods shall not apply in the case of intent or fraudulent concealment of a defect. Furthermore, the periods of limitation for compensation claims shall not apply in the case of gross negligence, in the case of wilful breach of essential contractual obligations not consisting of delivery of a defective item, in the cases of wilful injury to life, limb or health or claims under the product liability law.
(4) The period of limitation shall begin when the goods are delivered or on acceptance in the case of work or services.
(5) Unless stipulated explicitly elsewhere, the statutory regulations on the start of the period of limitation, suspension of the period, stay and recommencement of the period remain unaffected.
(6) The above-mentioned provisions shall not change the burden of proof to the disadvantage of the Customer.
XII. Third-party protective rights
Where Pfalz Tec manufactures and delivers goods for the Customer according to the latter's specifications and/or documents, the Customer vouches that no third-party rights in countries of the European Union or other countries are infringed. The Customer shall indemnify Pfalz Tec from any third-party claims arising from the protective rights mentioned in clause 1. The indemnity claim according to clause 2 shall also include the costs incurred by Pfalz Tec for legal action, including court and out-of-court expenses. Indemnity against such claims shall apply regardless of whether the Customer is at fault.
XIII. Written form requirement
Where the written form is required in the GT&C, the text form shall also be legally binding. XIV. Place of jurisdiction, Governing law, Contract language, Final provisions
(1) The place of jurisdiction is Görlitz. Mandatory legal regulations about exclusive jurisdiction remain unaffected by this clause.
(2) The relationships between Pfalz Tec and the Customer shall be governed exclusively by the laws of the Federal Republic of Germany. The UN Convention concerning the international sale of goods of 11. April 1980 (CISG) shall not apply.
(3) The contract language is German.
(4) Should any of the above provisions be invalid or unenforceable, this shall not affect the validity of the remaining provisions. Both parties are obligated to replace the invalid provision of these GT&C by a lawful one of similar economic outcome that they would have chosen if aware of the loophole. To the extent that the contract or these GT&C contain loopholes, clause 2 shall apply accordingly.

I. Geltungsbereich
(1) Die allgemeinen Geschäftsbedingungen finden ausschließlich auf Verträge mit Unternehmern Anwendung.
(2) Alle Lieferungen, Leistungen und Angebote von Pfalz Tec - einschließlich der Gegenstände, die Pfalz Tec speziell nach den Vorgaben des Vertragspartners (nachfolgend Auftraggeber genannt) herstellt - erfolgen ausschließlich auf Grund dieser allgemeinen Geschäftsbedingungen. Diese sind Bestandteil aller Verträge, die Pfalz Tec mit dem Auftraggeber schließt. Sie gelten auch für alle zukünftigen Lieferungen, Leistungen oder Angebote an den Auftraggeber, selbst wenn sie nicht nochmals gesondert vereinbart werden.
(3) Geschäftsbedingungen des Auftraggebers oder Dritter finden keine Anwendung, auch wenn Pfalz Tec ihrer Geltung im Einzelnen nicht gesondert widerspricht. Selbst wenn Pfalz Tec auf ein Schreiben Bezug nimmt, dass Geschäftsbedingungen des Auftraggebers oder eines Dritten enthält oder auf solche verweist, liegt darin kein Einverständnis mit der Geltung jener Geschäftsbedingungen.
II. Angebot und Vertragsschluss
(1) Alle Angebote von Pfalz Tec erfolgen freibleibend und unverbindlich.
(2) Allein maßgeblich für die Rechtsbeziehungen zwischen Pfalz Tec und dem Auftraggeber ist der schriftlich geschlossene Vertrag, einschließlich dieser allgemeinen Geschäftsbedingungen. Dieser gibt alle Abreden der Vertragsparteien zum Vertragsgegenstand vollständig wieder. Mündliche Zusagen von Pfalz Tec vor Abschluss dieses Vertrages sind rechtlich unverbindlich und mündliche Abreden der Vertragsparteien werden durch den schriftlichen Vertrag ersetzt, sofern sich nicht jeweils ausdrücklich aus ihnen ergibt, dass sie verbindlich fortgelten.
(3) Ergänzungen und Abänderungen der getroffenen Vereinbarungen einschließlich dieser allgemeinen Geschäftsbedingungen bedürfen zu Ihrer Wirksamkeit der Schriftform.
(4) Angaben von Pfalz Tec zum Gegenstand der Lieferung (z. B. Gewichte, Maße, Gebrauchswerte, Belastbarkeit, Toleranzen und technische Daten) sowie Darstellungen von Pfalz Tec (z. B. Zeichnungen und Abbildungen) sind nur annähernd maßgeblich, soweit nicht die Verwendbarkeit zum vertraglich vorgesehene Zweck eine genaue Übereinstimmung voraussetzt. Sie sind keine garantierten Beschaffenheitsmerkmale, sondern Beschreibungen oder Kennzeichnungen der Lieferung oder Leistung. Handelsübliche Abweichungen und Abweichungen, die aufgrund rechtlicher Vorschriften erfolgen oder technische Verbesserungen darstellen, sowie die Ersetzung von Bauteilen durch gleichwertige Teile sind zulässig, soweit sie die Verwendbarkeit zum vorgesehenen Zweck nicht beeinträchtigen.
(5) Pfalz Tec behält sich das Eigentum bzw. das Urheberrecht an allen von ihr abgegebenen Angeboten und Kostenvoranschlägen sowie dem Auftraggeber zur Verfügung gestellten Zeichnungen, Abbildungen, Berechnungen, Prospekten, Katalogen, Modellen, Werkzeugen und anderen Unterlagen und Hilfsmitteln vor. Der Auftraggeber darf diese Gegenstände ohne ausdrückliche Zustimmung von Pfalz Tec weder als solche noch inhaltlich Dritten zugänglich machen, sie bekannt geben, selbst oder durch Dritte nutzen oder vervielfältigen. Er hat auf Verlangen von Pfalz Tec diese Gegenstände vollständig an diese zurückzugeben und eventuell gefertigte Kopien zu vernichten, wenn sie von ihm im ordnungsgemäßen Geschäftsgang nicht mehr benötigt werden oder wenn Verhandlungen nicht zum Abschluss eines Vertrages führen
III. MITWIRKUNGSPFLICHT – MITTEILUNG ÜBER DAS ZU VERWENDENDE SPRÜHMITTEL UND DIE UMGEBUNGSBEDINGUNGEN
(1) Der Auftraggeber hat mit der Bestellung anzugeben, mit welchem Sprühmittel (vollständige chemische Formel) und unter welchen konkreten Umgebungsbedingungen der Liefergegenstand eingesetzt werden soll, soweit Pfalz Tec nicht im Rahmen einer „Mittelinformation“, der Produktwerbung oder sonstiger Veröffentlichungen die Gebrauchstauglichkeit des Liefergegenstandes für bestimmte Sprühmittel oder Umgebungsanforderungen angibt und die Verwendung sich in diesem angegebenen Rahmen hält.
(2) Im Falle der Mitteilung des einzusetzenden Sprühmittels und der konkreten Umgebungsbedingungen behält sich Pfalz Tec vor, die Bestellung des Auftraggebers unverzüglich abzulehnen.
(3) Im Übrigen obliegt es der ausschließlichen Verantwortung des Auftraggebers:
• das Sprühmittel und dessen Wirkstoffe für den konkreten Einsatz und die Umgebungsanforderungen auszuwählen,
• den Einsatz durchzuführen,
• etwaig erforderliche behördliche Genehmigungen und Erlaubnisse für den Sprühvorgang einzuholen sowie
• Vorschriften bezüglich der Verwendung des einzusetzenden Sprühmittels, des Verhaltens in der Umgebung, in der der Einsatz stattfindet, sowie geltende Arbeitsschutzbestimmungen zu beachten.
IV. Lieferungen, Lieferfristen
(1) Von Pfalz Tec in Aussicht gestellte Fristen und Termine für Lieferungen gelten stets nur annähernd, es sei denn, dass ausdrücklich eine feste Frist oder ein fester Termin zugesagt oder vereinbart wurde. Sofern Versendung vereinbart wurde, beziehen sich Lieferfristen und Liefertermine auf den Zeitpunkt der Übergabe an den Spediteur, Frachtführer oder sonst mit dem Transport beauftragten Dritten
(2) Soweit nichts anders vereinbart ist, gilt eine Lieferfrist von etwa 4 Wochen für typisierte Standardgeräte und etwa 8 Wochen für Geräte, die gemäß den Vorgaben des Auftraggebers für diesen herzustellen sind. Bei Lieferungen, die mehr als 5 Geräte umfassen, gilt S. 3 nicht; Lieferfristen insoweit bedürfen einer gesonderten Vereinbarung.
(3) Soweit der Auftraggeber und Pfalz Tec Vorauskasse vereinbart haben, beginnt die Lieferung nicht vor Eingang des vereinbarten Zahlungsbetrages bei Pfalz Tec.
(4) Pfalz Tec kann – unbeschadet seiner Rechte aus Verzug des Auftraggebers – vom Auftraggeber eine Verlängerung von Liefer- und Leistungsfristen oder eine Verschiebung von Lieferund Leistungsterminen um den Zeitraum verlangen, in dem der Auftraggeber seinen vertraglichen Verpflichtungen Pfalz Tec gegenüber nicht nachkommt. Dies betrifft insbesondere die Beantwortung technischer Fragen, die Bereitstellung von erforderlichen Zeichnungen und Dokumenten, die Bereitstellung von vereinbarten Stoffen oder technischen Gütern und die fristgerechte Herstellung vertraglich vereinbarter Vorleistungen durch den Auftraggeber.
(5) Ebenfalls kann Pfalz Tec eine Verlängerung von Liefer- und Leistungsfristen oder eine Verschiebung von Liefer- und Leistungsterminen um den Zeitraum verlangen, der für die Realisierung von nachträglichen Änderungswünschen oder Spezifikationen des Auftraggebers erforderlich ist.
(6) Pfalz Tec haftet nicht für Unmöglichkeit der Lieferung oder für Lieferverzögerungen, soweit diese durch höhere Gewalt oder sonstige, zum Zeitpunkt des Vertragsabschlusses nicht vorhersehbare Ereignisse (z. B. Betriebsstörungen aller Art, Schwierigkeiten in der Material- oder Energiebeschaffung, Transportverzögerung, Streiks, rechtmäßige Aussperrungen, Mangel an Arbeitskräften, Energie- oder Rohstoffen, Schwierigkeiten bei der Beschaffung von notwendigen behördlichen Genehmigungen, behördliche Maßnamen oder die ausbleibende nicht richtige oder nicht rechtzeitige Belieferung durch Lieferanten) verursacht worden sind, die Pfalz Tec nicht zu vertreten hat. Sofern solche Ereignisse Pfalz Tec die Lieferung oder Leistung wesentliche erschweren oder unmöglich machen und die Behinderung nicht nur von vorübergehender Dauer ist, ist Pfalz Tec zum Rücktritt vom Vertrag berechtigt. Bei solchen Hindernissen vorübergehender Dauer verlängern sich die Liefer- oder Leistungsfristen oder verschieben sich die Liefer- oder Leistungstermine um den Zeitraum der Behinderung zzgl. einer angemessenen Anlauffrist. Soweit dem Auftraggeber in Folge der Verzögerung die Abnahme der Lieferung oder Leistung nicht zuzumuten ist, kann er durch unverzügliche schriftliche Erklärung gegenüber Pfalz Tec vom Vertrag zurücktreten. Pfalz Tec wird den Auftraggeber von Behinderungen im Sinne der vorstehenden Sätze unverzüglich unterrichten.
(7) Pfalz Tec ist zu Teillieferungen berechtigt, wenn
• die Teillieferung für den Auftraggeber im Rahmen des vertraglichen Bestimmungszwecks verwendbar ist,
• und die Lieferung der restlichen Ware sichergestellt ist
• und dem Auftraggeber kein erheblicher Mehraufwand oder zusätzliche Kosten entstehen (es sei denn, Pfalz Tec erklärt sich zur Übernahme dieser Kosten bereit)
(8) Sollte Pfalz Tec einen vereinbarten Liefertermin nicht einhalten, so hat der Auftraggeber Pfalz Tec eine angemessene Nachfrist zu setzen, die in keinem Fall 2 Wochen unterschreiten darf.
(9) Gerät Pfalz Tec mit einer Lieferung oder Leistung in Verzug oder wird ihr eine Lieferung oder Leistung gleich aus welchem Grunde, unmöglich, so ist die Haftung von Pfalz Tec auf Schadenersatz nach Maßgabe der Regelungen in Ziffer X dieser allgemeinen Geschäftsbedingungen beschränkt.
V. Preise und Zahlungsbedingungen
(1) Die Preise verstehen sich ab Werk Görlitz, Deutschland. Zu den Preisen hinzu kommen die jeweilige gesetzliche Umsatzsteuer von derzeit 19 %, die Kosten der Verpackung, der Versendung, der Transportversicherung, sowie Zoll, Gebühren und andere öffentliche Abgaben, oder weitere länderspezifische Kosten. (z.B. Mautgebühren).
(2) Soweit den vereinbarten Preisen die Listenpreise von Pfalz Tec zugrunde liegen und die Lieferung erst mehr als vier Monate nach Vertragsschluss erfolgen soll, gelten die bei Lieferung gültigen Listenpreise von Pfalz Tec. Bei Preiserhöhungen um mehr als 10 % seit Vertragsschluss kann der Auftraggeber vom Vertrag zurücktreten. Das Rücktrittsrecht ist innerhalb einer Frist von fünf Tagen nach Zugang der Mitteilung über die Preiserhöhung auszuüben.
(3) Die Aufrechnung mit Gegenansprüchen des Auftraggebers oder die Zurückbehaltung von Zahlungen wegen solcher Ansprüche ist nur zulässig, soweit die Gegenansprüche unbestritten oder rechtskräftig festgestellt sind.
(4) Bei erstmaligem Vertragsabschluss oder bei Auftraggebern im EU-Ausland ist der Preis mit Abschluss des Vertrages zu zahlen..
(5) Der jeweilige Rechnungsbetrag ist fällig ohne Abzüge 12 Kalendertage nach Zugang der Rechnung, sofern nicht etwas anders vereinbart ist.
(6) Der Preis ist ab Fälligkeit mit fünf Prozentpunkten über dem Basiszinssatz zu verzinsen; die Geltendmachung höherer Zinsen und weiterer Schäden im Falle des Verzugs bleiben unberührt.
(7) Maßgebend für das Datum der Zahlung ist der Zahlungseingang bei Pfalz Tec.
(8) Pfalz Tec ist berechtigt, noch ausstehende Lieferungen nur gegen Vorauszahlung oder Sicherheitsleistung auszuführen oder zu erbringen, wenn ihr nach Abschluss des Vertrages Umstände bekannt werden, welche die Kreditwürdigkeit des Auftraggebers wesentlich zu mindern geeignet sind und durch welche die Bezahlung der offenen Forderungen von Pfalz Tec aus dem jeweiligen Vertragsverhältnis gefährdet wird.
VI. Kündigung / Rücktritt durch den Auftraggeber
In dem Falle, dass Gegenstand des Vertrages die Lieferung eines herzustellenden Gegenstandes ist und der Auftraggeber den Vertrag kündigt oder von diesem zurücktritt, hat der Auftraggeber den vereinbarten Preis unter Abzug der ersparten Aufwendungen zu zahlen; die ersparten Aufwendungen werden mit 20 % des vereinbarten Preises festgelegt. VII. Eigentumsvorbehalt
(1) Der Liefergegenstand bleibt Eigentum von Pfalz Tec bis zur vollständigen Zahlung sämtlicher gegen den Auftraggeber aus der Geschäftsbeziehung bestehenden Forderungen.
(2) Der Auftraggeber verwahrt den unter Eigentumsvorbehalt stehenden Liefergegenstand unentgeltlich.
(3) Dem Auftraggeber ist es gestattet, den Liefergegenstand zu verarbeiten oder umzubilden (Verarbeitung). Die Verarbeitung erfolgt für Pfalz Tec. Wenn der Wert des Pfalz Tec gehörenden Liefergegenstandes jedoch geringer ist als der Wert der nicht Pfalz Tec gehörenden Gegenstände und/oder der Verarbeitung, so erwirbt Pfalz Tec Miteigentum an dem Neugegenstand im Verhältnis des Wertes (Brutto-Rechnungswert) des verarbeiteten Liefergegenstandes zum Wert der der übrigen verarbeiteten Gegenstände und / oder der Verarbeitung zum Zeitpunkt der Verarbeitung. Soweit Pfalz Tec nach dem Vorstehenden kein Eigentum an dem Neugegenstand erwirbt, sind sich Pfalz Tec und der Auftraggeber darüber einig, dass der Auftraggeber Pfalz Tec Miteigentum an dem Neugegenstand im Verhältnis des Wertes (Brutto-Rechnungswert) des Pfalz Tec gehörenden Liefergegenstandes zu dem der übrigen verarbeiteten Gegenstände zum Zeitpunkt der Verarbeitung einräumt. Der vorstehende Satz gilt entsprechend im Falle der untrennbaren Vermischung oder Verbindung des Liefergegenstandes mit Pfalz Tec nicht gehörenden Gegenständen. Soweit Pfalz Tec nach dieser Bestimmung Eigentum oder Miteigentum erlangt, verwahrt der Auftraggeber sie für Pfalz Tec mit der Sorgfalt eines ordentlichen Kaufmanns.
(4) Für den Fall der Veräußerung des Liefergegenstandes oder des Neugegenstandes tritt der Auftraggeber hiermit seinen Anspruch aus der Weiterveräußerung gegen seinen Abnehmer mit allen Nebenrechten sicherungshalber an Pfalz Tec ab, ohne dass es noch weiterer besonderer Erklärungen bedarf. Die Abtretung gilt einschließlich etwaiger Saldoforderungen. Die Abtretung gilt jedoch nur in Höhe des Betrages, der dem von Pfalz Tec in Rechnung gestellten Preis des Liefergegenstandes entspricht. Der Pfalz Tec abgetretene Forderungsanteil ist vorrangig zu befriedigen.
(5) Verbindet der Auftraggeber den Liefergegenstand oder den Neugegenstand mit Grundstücken, so tritt er, ohne dass es weiterer besonderer Erklärungen bedarf, auch seine Forderung, die ihm als Vergütung für die Verbindung zusteht, in Höhe des Betrages ab, der dem von Pfalz Tec in Rechnung gestellten Preis der Liefergegenstandes entspricht.
(6) Bis auf Widerruf ist der Auftraggeber zur Einziehung der gemäß dieser Ziffer VII an Pfalz Tec abgetretenen Forderung befugt. Der Auftraggeber wird auf die abgetretenen Forderung geleistete Zahlungen bis zur Höhe der gesicherten Forderungen unverzüglich an Pfalz Tec weiterleiten. Bei Vorliegen berechtigter Interessen, insbesondere bei Zahlungsverzug, Zahlungseinstellung, Eröffnung eines Insolvenzverfahrens, Wechselprotest oder begründeten Anhaltspunkten für eine Überschuldung oder drohende Zahlungsunfähigkeit des Auftraggebers ist Pfalz Tec berechtigt, die Einziehungsbefugnis des Auftraggebers zu widerrufen. Außerdem kann Pfalz Tec nach vorheriger Androhung unter Einhaltung einer angemessenen Frist die Sicherungsabtretung offenlegen, die abgetretenen Forderungen verwerten sowie die Offenlegung der Sicherungsabtretung durch den Auftragnehmer gegenüber den Abnehmern verlangen.
(7) Auf Verlangen hat der Auftraggeber die zur Geltendmachung von dessen Rechten gegen die Abnehmer erforderliche Auskünfte zu erteilen und die erforderlichen Unterlagen auszuhändigen.
(8) Während des Bestehens des Eigentumsvorbehalts ist dem Auftraggeber eine Verpfändung oder Sicherungsübereignung des Liefergegenstandes untersagt. Bei Pfändungen, Beschlagnahme oder sonstigen Verfügungen oder Eingriffen Dritter hat der Auftraggeber Pfalz Tec unverzüglich zu benachrichtigen. Die Weiterveräußerung des Liefergegenstandes oder des Neugegenstandes ist nur Wiederverkäufern im ordentlichen Geschäftsgang und nur unter den Bedingungen gestattet, dass die Zahlung des Gegenwertes des Liefergegenstandes an den Auftraggeber erfolgt. Der Auftraggeber hat mit dem Abnehmer auch zu vereinbaren, dass erst mit dieser Zahlung der Abnehmer Eigentum erwirbt.
(9) Soweit der realisierbare Wert aller Sicherungsrechte, die Pfalz Tec zustehen, die Höhe aller gesicherten Ansprüche um mehr als 10 % übersteigt, wird Pfalz Tec auf Wunsch des Kunden einen entsprechenden Teil der Sicherungsrechte freigeben. Es wird vermutet, dass die Voraussetzungen des vorstehenden Satzes erfüllt sind, wenn der Schätzwert der Pfalz Tec zustehenden Sicherheiten 150% des Wertes der gesicherten Ansprüche erreicht oder übersteigt. Pfalz Tec steht die Wahl bei der Freigabe zwischen verschiedenen Sicherungsrechten zu.
(10) Bei Pflichtverletzungen des Auftraggebers, insbesondere bei Zahlungsverzug, ist Pfalz Tec auch ohne Fristsetzung berechtigt, die Herausgabe des Liefergegenstandes bzw. des Neugegenstandes zu verlangen und/oder nach Fristsetzung vom Vertrag zurückzutreten; der Auftraggeber ist zur Herausgabe verpflichtet. Im Herausgabeverlangen des Liefergegenstandes/ des Neugegenstandes liegt keine Rücktrittserklärung von Pfalz Tec, es sein denn, dies wird ausdrücklich erklärt.
VIII. Versand/Gefahrübergang
(1) Erfüllungsort für alle Verpflichtungen aus dem Vertrag ist Deutschland, 02829 Markersdorf, Erligheimer Ring 9. Schuldet Pfalz Tec auch die Installation, ist Erfüllungsort der Ort, an dem die Installation zu erfolgen hat.
(2) Die Gefahr geht mit Auslieferung an den Spediteur, Frachtführer oder die sonst zur Ausführung der Versendung bestimmten Person auf den Vertragspartner von Pfalz Tec über. Entscheidend ist der Beginn des Verladevorganges. Dies gilt auch dann, wenn Teillieferungen erfolgen oder Pfalz Tec noch andere Leistungen (z.B. Versand oder Installation) übernommen hat. Verzögert sich der Versand oder die Übergabe infolge eines Umstandes, dessen Ursache beim Auftraggeber liegt, geht die Gefahr von dem Tag an den Auftraggeber über, an dem Pfalz Tec versandbereit ist und dies dem Auftraggeber angezeigt hat.
(3) An Stelle des Beginns des Verladevorganges tritt die Anzeige der Versandbereitschaft, wenn sich der Versand auf Grund von Umständen verzögert, deren Ursache beim Auftraggeber liegt, Pfalz Tec aber versandbereit ist.
(4) Die Versandart und die Verpackung unterstehen dem pflichtgemäßen Ermessen von Pfalz Tec. Eine Versicherung der Sendung erfolgt nur auf ausdrücklichen Wunsch des Auftraggebers und für dessen Rechnung.
(5) Im Falle der Abholung durch den Auftraggeber geht die Gefahr mit Beginn des Verladevorganges auf denselben über.
(6) Lagerkosten nach Gefahrübergang trägt der Auftraggeber. Bei Lagerung durch Pfalz Tec betragen die Lagerkosten 15 € / qm je angefangenen Monat. Die Geltendmachung und der Nachweis weiterer oder geringerer Kosten bleibt vorbehalten.
IX. Mängelrüge, Gewährleistung
(1) Der Liefergegenstand ist unverzüglich nach Ablieferung an den Auftraggeber oder an den von ihm bestimmten Dritten sorgfältig zu untersuchen.
(2) Der Liefergegenstand gilt als genehmigt, wenn dem Verkäufer nicht eine Mängelrüge hinsichtlich offensichtlicher Mängel oder anderer Mängel, die bei einer unverzüglichen, sorgfältigen Untersuchung erkennbar waren, binnen fünf Werktagen nach Ablieferung des Liefergegenstandes, oder ansonsten binnen fünf Werktagen nach Entdeckung des Mangels oder jedem früheren Zeitpunkt, in dem der Mangel für den Auftraggeber bei normaler Verwendung des Liefergegenstandes ohne nähere Untersuchung erkennbar war, in Textform zugegangen ist.
(3) Auf Verlangen von Pfalz Tec ist der beanstandete Liefergegenstand frachtfrei an Pfalz Tec zurückzusenden. Bei berechtigter Mängelrüge vergütet Pfalz Tec die Kosten des günstigsten Versandweges; dies gilt nicht, soweit die Kosten sich erhöhen, weil der Liefergegenstand sich an einem anderen Ort als dem Ort des bestimmungsgemäßen Gebrauchs befindet.
(4) Bei Sachmängeln des gelieferten Gegenstandes ist Pfalz Tec nach ihrer innerhalb angemessener Frist zu treffenden Wahl zunächst zur Nachbesserung oder Ersatzlieferung verpflichtet und berechtigt. Ein Fehlschlagen der Nachbesserung ist in jedem Fall erst nach dem erfolglosen zweiten Versuch gegeben. Im Falle des Fehlschlagens der Nacherfüllung, d.h. der Unmöglichkeit, Unzumutbarkeit, Verweigerung oder unangemessenen Verzögerung der Nachbesserung oder Ersatzlieferung kann der Auftraggeber vom Vertrag zurücktreten oder den Preis angemessen mindern.
(5) Die Gewährleistung entfällt, wenn der Auftraggeber ohne Zustimmung von Pfalz Tec den gelieferten Gegenstand ändert oder durch Dritte ändern lässt und die Mängelbeseitigung hierdurch unmöglich oder unzumutbar erschwert wird. In jedem Fall hat der Auftraggeber die durch die Änderung entstehenden Mehrkosten zu tragen.
(6) Die Gewährleistung entfällt weiter, wenn am Liefergegenstand ein Mangel infolge der Verwendung eines Sprühmittels und / oder von Umgebungsanforderungen entsteht, deren jeweilige Angabe nach Ziffer III Abs. 1 der Auftraggeber unterlassen hat, soweit nicht Pfalz Tec im Rahmen einer „Mittelinformation“, der Produktwerbung oder sonstiger Veröffentlichungen die Gebrauchstauglichkeit des Liefergegenstandes für bestimmte Sprühmittel oder Umgebungsanforderungen angibt und die Verwendung sich in diesem angegebenen Rahmen hält.
X. Schadensersatz - Haftungsbeschränkungen
(1) Die Haftung von Pfalz Tec auf Schadensersatz, gleich aus welchem Rechtsgrund, insbesondere Unmöglichkeit, Verzug, mangelhafter oder falscher Lieferung, Vertragsverletzung von Pflichten bei Vertragsverhandlungen und unerlaubter Handlung ist, soweit es auf ein Verschulden ankommt nach Maßgabe der nachfolgenden Bestimmungen eingeschränkt.
(2) Pfalz Tec haftet nicht im Falle einfacher Fahrlässigkeit des Inhabers/ihrer Organe, gesetzlichen Vertreter, Angestellten oder sonstigen Erfüllungsgehilfen, soweit es sich nicht um eine Verletzung vertragswesentlicher Pflichten handelt.
(3) Vertragswesentlich sind die Verpflichtung zur rechtzeitigen mängelfreien Lieferung sowie Beratungs-, Schutz- und Obhutspflichten, die dem Auftraggeber die vertragsgemäße Verwendung des gelieferten Gegenstandes ermöglichen sollen oder den Schutz von Leib oder Leben von Personal des Auftraggebers oder den Schutz von dessen Eigentum vor erheblichem Schaden bezwecken.
(4) Soweit der Auftraggeber nach IX. Abs. 2 dem Grunde nach haftet, ist diese Haftung auf Schäden begrenzt, die Pfalz Tec bei Vertragsschluss als mögliche Folge einer Vertragsverletzung vorausgesehen hat oder die Pfalz Tec bei Anwendung verkehrsüblicher Sorgfalt hätte voraussehen müssen. Mittelbare Schäden und Folgeschäden, die Folge von Mängeln des Liefergegenstandes sind, sind außerdem nur ersatzfähig, soweit solche Schäden bei bestimmungsgemäßer Verwendung des Liefergegenstandes typischerweise zu erwarten sind. Dazu zählen nicht Schäden, die infolge der Verwendung eines Sprühmittels und / oder der Umgebungsanforderungen entstehen, deren Angabe nach Ziffer III Abs. 1 der Auftraggeber unterlassen hat, soweit nicht Pfalz Tec im Rahmen einer „Mittelinformation“, der Produktwerbung oder sonstiger Veröffentlichungen die Gebrauchstauglichkeit des Liefergegenstandes für bestimmte Sprühmittel oder Umgebungsanforderungen angibt und die Verwendung sich in diesem angegebenen Rahmen hält.
(5) Im Falle der Haftung für einfache Fahrlässigkeit ist die Haftung von Pfalz Tec für Sachschäden auf einen Betrag von 1 Mio € je Schadensfall begrenzt, auch wenn es sich um die Verletzung vertragswesentlicher Pflichten handelt.
(6) Die vorstehenden Haftungsausschlüsse und Beschränkungen gelten in gleichem Umfang zu Gunsten der Organe, gesetzlichen Vertreter, Angestellten und sonstigen Erfüllungsgehilfen von Pfalz Tec.
(7) Soweit Pfalz Tec beratend tätig wird oder technische Auskünfte gibt, und diese Auskünfte und Beratungen nicht zu dem von ihm geschuldeten vertraglich vereinbarten Leistungsumfang gehören, erfolgen sie unentgeltlich und unter Ausschluss jeglicher Haftung.
(8) Die vorstehenden Beschränkungen gelten nicht für die Haftung von Pfalz Tec wegen vorsätzlichen Handelns, für garantierte Beschaffenheitsmerkmale, wegen Verletzung des Lebens, des Körpers oder der Gesundheit oder nach dem Produkthaftungsgesetz.
XI. Verjährung
(1) Die Verjährungsfrist für alle Ansprüche des Auftraggebers wegen Mängeln beträgt ein Jahr. Dies gilt jedoch nicht in den Fällen des § 438 Abs. 1 Nr. 2 BGB (Bauwerke, Sachen für Bauwerke), § 479 Abs. 1 BGB (Rückgriffanspruch des Unternehmers) oder § 634 a Abs. 1 Nr. 2 BGB (Bauwerke oder Werk, dessen Erfolg in der Erbringung von Planungs- oder Überwachungsleistungen hierfür besteht). Die in S. 2 aufgeführten Fälle unterliegen der gesetzlichen Verjährungsfrist.
(2) Die Verjährungsfristen nach Abs. 1 gelten auch für Schadensersatzansprüche gegen Pfalz Tec, die mit dem Mangel in Zusammenhang stehen – unabhängig von der Rechtsgrundlage des Anspruchs. Soweit Schadensersatzansprüche jeder Art gegen Pfalz Tec bestehen, die mit einem Mangel nicht in Zusammenhang stehen, gilt für sie die Verjährungsfrist des Abs. 1 S. 1.
(3) Die Verjährungsfristen nach Abs. 1 und Abs. 2 gelten jedoch mit folgender Maßgabe: Die Verjährungsfristen gelten nicht im Falle des Vorsatzes oder bei arglistigem Verschweigen eines Mangels. Die Verjährungsfristen gelten für Schadensersatzansprüche zudem nicht bei einer grob fahrlässigen Pflichtverletzung, im Falle – nicht in der Lieferung einer mangelhaften Sache bestehender – schuldhafter Verletzung wesentlicher Vertragspflichten, in den Fällen schuldhafter Verletzung von Leben, Körper, Gesundheit, oder bei Ansprüchen nach dem Produkthaftungsgesetz.
(4) Die Verjährungsfrist beginnt mit der Ablieferung, bei Werkleistungen mit der Abnahme.
(5) Soweit nicht ausdrücklich anderes bestimmt ist, bleiben die gesetzlichen Bestimmungen über den Verjährungsbeginn, die Ablaufhemmung, die Hemmung und den Neubeginn von Fristen unberührt.
(6) Eine Änderung der Beweislast zum Nachteil des Auftraggebers ist mit den vorstehenden Regelungen nicht verbunden.
XII. Schutzrechte Dritter
Fertigt und liefert Pfalz Tec nach Vorgaben und/oder Unterlagen des Auftraggebers für diesen Sachen, so steht der Auftraggeber dafür ein, dass keine Schutzrechte Dritter in Ländern der Europäischen Union oder anderen Ländern verletzt werden. Der Auftraggeber hat Pfalz Tec von allen Ansprüchen Dritter wegen der in S. 1 genannten Schutzrechte freizustellen. Der Freistellungsanspruch nach S. 2 schließt auch die Pfalz Tec entstehenden Kosten der Rechtsverfolgung einschließlich gerichtlicher und außergerichtlicher Kosten ein. Der Freistellungsanspruch besteht unabhängig von einem Verschulden des Auftraggebers.
XIII. Schriftformerfordernis
Soweit die allgemeinen Geschäftsbedingungen Schriftform bestimmen, ist diese durch Textform gewahrt. XIV. Gerichtsstand, Rechtswahl, Vertragssprache, Schlussbestimmungen
(1) Gerichtsstand ist Görlitz. Zwingende gesetzliche Bestimmungen über ausschließliche Gerichtsstände bleiben unberührt.
(2) Die Beziehungen zwischen Pfalz Tec und dem Auftraggeber unterliegen ausschließlich dem Recht der Bundesrepublik Deutschland. Das Übereinkommen der Vereinten Nationen über den internationalen Warenkauf vom 11. April 1980 (CISG) gilt nicht.
(3) Die Vertragssprache ist deutsch.
(4) Soweit einzelne der vorstehenden Bestimmungen unwirksam sind, beeinträchtigt dies nicht die Wirksamkeit der übrigen Bestimmungen. Anstelle der unwirksamen Bestimmung gilt dasjenige, was die Parteien vor dem Hintergrund dieser AGB vereinbart hätten, wenn sie um die Lückenhaftigkeit gewusst hätten. Soweit der Vertrag oder diese AGB Regelungslücken enthalten, gilt S. 2 entsprechend.
